1. Acceptance of Terms

By accessing or using BlindsideIQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users, including organizations, administrators, and end users who access the Service.

2. Description of Service

BlindsideIQ is a Customer Relationship Intelligence platform that:

  • Analyzes Microsoft 365 email and calendar data (with Google Workspace support coming soon)
  • Provides AI-powered insights about customer relationships through scheduled processing
  • Tracks communication patterns and sentiment analysis every 6 hours
  • Generates reports and analytics for business intelligence

The Service is designed for business use and currently requires integration with Microsoft 365 services. Google Workspace integration is in active development. Analysis processing occurs on scheduled intervals, not in real-time.

3. Early Access Program

Service Status

BlindsideIQ is currently in early access/beta phase. By using the Service, you acknowledge and agree that:

  • The Service is under active development with features subject to change, limitation, or discontinuation
  • Email analysis processing occurs on scheduled intervals (currently every 6 hours, not real-time)
  • Service performance, reliability, and availability may vary during early access
  • No service level agreements (SLAs) apply during the early access period
  • We may modify processing schedules, features, or capabilities with notice when feasible

Early Access Limitations

During early access, the Service includes the following limitations:

  • Email processing capacity: Maximum 50,000 emails per organization per month
  • User limits: Maximum 50 users per organization
  • Data retention: Analysis history retained for 90 days
  • Processing frequency: Every 6 hours (subject to change as we scale)
  • Platform support: Microsoft 365 available now, Google Workspace coming soon

Important Notice

You acknowledge this is experimental software in active development. We recommend evaluating the Service thoroughly before relying on it for critical business decisions.

4. Account Registration and Security

Account Creation

To use the Service, you must:

  • Provide accurate and complete registration information
  • Be authorized to bind your organization to these Terms
  • Have valid Microsoft 365 administrator permissions
  • Be at least 18 years of age

Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Implementing appropriate organizational security measures

Customer Warranties

By using the Service, you represent and warrant that:

  • You have the legal authority to grant access to your organization's email data
  • All users whose email data will be processed have provided appropriate consent
  • You have evaluated the Service's suitability for your specific compliance requirements
  • Your use will not violate any privacy laws, regulations, or third-party rights
  • You will not intentionally process sensitive personal data without appropriate safeguards
  • You understand the Service's limitations and processing schedule

5. Acceptable Use Policy

Permitted Uses

You may use the Service to:

  • Analyze business email communications within your organization
  • Generate insights about customer relationships and communication patterns
  • Track and monitor business communication metrics
  • Export data and reports for business purposes

Prohibited Uses

You may not use the Service to:

  • Access data outside your organization's tenant
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, threatening, or illegal content
  • Attempt to reverse engineer or compromise the Service
  • Use the Service for personal or non-business purposes
  • Resell or redistribute access to the Service

Compliance Responsibility

Your Compliance Obligations

You are solely responsible for ensuring your use of the Service complies with all applicable laws and regulations. This includes but is not limited to:

  • Industry-specific regulations (HIPAA, GDPR, PCI DSS, SOX, etc.)
  • Data protection and privacy laws in your jurisdiction
  • Employment and workplace privacy requirements
  • Professional confidentiality obligations (attorney-client privilege, etc.)

Important: We make no representations about the Service's compliance with any specific regulatory framework. You must evaluate suitability for your compliance needs before use.

6. Data Rights and Ownership

Your Data

You retain ownership of all data you provide to the Service, including:

  • Email content and metadata
  • Calendar information
  • Contact and organizational data
  • User-generated content and configurations

Service Data

We retain rights to:

  • Aggregated, anonymized usage statistics
  • Service improvement analytics
  • Security and performance monitoring data

Data Processing

By using the Service, you grant us permission to:

  • Process your data using AI and machine learning technologies
  • Store and backup data for service reliability
  • Use data to provide, maintain, and improve the Service

7. Subscription and Payment Terms

Subscription Plans

The Service is offered through various subscription tiers:

  • Free Trial: 14-day trial with up to 3 mailboxes
  • Small Business (1-9 mailboxes): £37/mailbox per month
  • Medium Business (10-19 mailboxes): £35/mailbox per month
  • Volume Tier (20+ mailboxes): £33/mailbox per month

Payment Terms

  • Subscriptions are billed monthly in advance
  • All fees are non-refundable except as required by law
  • Prices may change with 30 days' notice
  • Overdue accounts may be suspended or terminated

Cancellation

You may cancel your subscription at any time. Cancellation will be effective at the end of the current billing period.

8. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy.

By using the Service, you consent to:

  • Data processing as described in our Privacy Policy
  • Processing within your data jurisdiction (no international transfers)
  • Use of AI technologies for email content analysis
  • Scheduled processing every 6 hours rather than real-time analysis

Regulatory Compliance

While we implement security and privacy best practices, you remain responsible for determining whether the Service meets your specific regulatory requirements. We recommend consulting with your legal and compliance teams before processing regulated data.

9. Service Availability and Performance

Service Level

We strive to provide:

  • 99.9% uptime for paid subscription plans
  • Regular updates and improvements
  • Email support during business hours
  • Documentation and user guides

Limitations

The Service may be unavailable due to:

  • Scheduled maintenance (with advance notice)
  • Microsoft 365 service outages
  • Force majeure events
  • Security incidents requiring emergency response

10. Intellectual Property

Our Intellectual Property

BlindsideIQ and its licensors retain ownership of:

  • The Service software, algorithms, and AI models
  • BlindsideIQ trademarks, logos, and branding
  • Documentation, user interfaces, and designs
  • Aggregated insights and analytics methodologies

License Grant

We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms during your subscription period.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID IN THE 12 MONTHS PRECEDING THE CLAIM
  • WE ARE NOT RESPONSIBLE FOR DATA LOSS DUE TO USER ERROR OR THIRD-PARTY ISSUES

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold BlindsideIQ harmless from any claims, damages, or expenses arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of applicable laws or regulations
  • Infringement of third-party rights by your content or usage
  • Unauthorized access to your account due to your negligence
  • Any compliance violations or regulatory claims related to your data processing
  • Claims that our processing of your data violates privacy or employment laws
  • Any breach of your warranties regarding authority and consent

13. Termination

Termination by You

You may terminate your account at any time through your account settings or by contacting support.

Termination by Us

We may suspend or terminate your account immediately, with or without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your payment is overdue beyond the grace period
  • We reasonably believe your account poses a security risk
  • Required by law or legal process
  • We determine the Service is not suitable for your use case or compliance requirements
  • Your usage patterns indicate potential regulatory or legal risks
  • Technical limitations prevent us from properly serving your needs
  • At our sole discretion during the early access phase

Early Access Termination Rights

During early access, we reserve the right to terminate any account at our sole discretion to ensure platform stability, legal compliance, or service quality. This includes situations where we determine our current capabilities cannot meet your specific requirements.

Effects of Termination

Upon termination:

  • Your access to the Service will be immediately revoked
  • We guarantee a 7-day period for data export following termination
  • Analysis data and insights will be available for download during this period
  • After the 7-day period, all data will be permanently deleted from our systems
  • All payment obligations for services rendered remain in effect
  • If terminated by us due to unsuitability (not breach), we will provide prorated refunds

14. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Dispute Resolution

Any disputes shall be resolved through:

  • Good faith negotiations for 30 days
  • Binding arbitration if negotiations fail
  • Courts of England and Wales for injunctive relief

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Email notification to your account email
  • Prominent notice on our website
  • In-app notifications for significant changes

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
